I began practicing law in 1992 with a firm specializing in civil and criminal trial work. I gained valuable courtroom experience and began to work with business owners involved in litigation. When I formed my own practice in 1994 I continued to handle litigation while moving toward an emphasis on business transactions and real estate closings. I purchased a title insurance agency in 1998 and began closing a high volume of real estate transactions. My experience as a young lawyer allowed me to develop a strong background in many areas of the law. However, since 2000 I have narrowed the focus of my practice to concentrate on representing business and real estate clients.
My clients include restaurants, retailers, contractors, medical professionals, small manufacturing companies, developers, real estate investors, and landlords. My business law practice involves representing buyers and sellers of businesses and forming new corporations, limited liability companies, and partnerships. In setting up new entities I draft all necessary organizational documents, by-laws, operating agreements, shareholder agreements, non-compete agreements and many other business documents. I handle all aspects of business acquisitions, mergers and sales. I am very experienced with Small Business Administration loan closings as well as traditional commercial financing for business acquisitions. I also serve as registered agent for nearly 150 business entities and provide a wide range of general legal services to my business clients, including contract and lease preparation, collections and general business litigation.
My business law practice fits well with the real estate side of my practice. I represent buyers and sellers of residential and commercial real estate. In addition to home buyers, I routinely represent commercial and residential real estate investors who use various methods to buy, finance, manage, rehabilitate, lease, market and sell real estate. I prepare all manner of real estate documents from purchase and sale agreements to financing instruments. Since I have an ownership interest in a title insurance agency, my office is set up to handle all aspects of real estate transactions quickly and efficiently.
